- Entity formation and governance
- Independent contractor and employment agreements

- Purchases and sales of businesses
- Dispute resolution
- Succession planning and trust planning
- Government contracting – Small Business Innovation Research (SBIR) and grants
- “Tax-aware legal care” (tax implications of business entities and transactions)
I have clients in many industries, with a special emphasis on businesses in the construction industry, consulting firms and technology companies.
My 3-Step Process
1. Discovery Call
I will initiate our interaction by engaging in a comprehensive mutual introduction (normally on Google Meet), allowing me to establish a profound understanding of your unique requirements and the specific time frame within which they necessitate fulfillment. Through this process, we will collaboratively determine the compatibility of my services with your distinct needs, ensuring a harmonious alignment of objectives before proceeding to the subsequent stages.
2. Engagement
I will compose a detailed Engagement Letter that confirms the pertinent insights gleaned from our initial conversation along with essential particulars concerning the extent of the undertaking. This document will also make observations about the legal implications of your situation, and suggest recommended courses of action. Furthermore, the proposed “scope of work” will be comprehensively outlined in this letter, providing a clear and comprehensive definition of my intended responsibilities should you decide to engage my services.
3. Fee Agreement
The Engagement Letter will also explain my hourly fees, and flat rate legal fees when appropriate for some routine service. Since my legal fees do not include out-of-pocket expenses, the Engagement Letter will also describe any anticipated out-of-pocket expenses that might arise during the course of our collaboration. Billing cycle choices will be presented as well, and the retainer for me to start the work.
I will commence the actual work only upon receipt of the signed Engagement Letter and the associated retainer payment. This procedural step will ensure that you and I are aligned in our objectives and fully prepared to embark on a productive and mutually beneficial journey together.
